By accessing the website www.ritg.in, registering for an account, purchasing any product or service, or using any software, application, website, ERP, fee-management system, hosting, support, or other service provided by RIT Group, you acknowledge that you have read, understood, and agreed to the following Terms & Conditions.

QUOTATIONS AND INVOICES

• Quotations and invoices issued by RIT Group are valid for the period mentioned in the respective quotation or invoice. Where no validity period is specified, the quotation shall generally remain valid for 7 days from the date of issue.
• Prices mentioned in quotations and invoices are exclusive of applicable taxes unless specifically stated otherwise.
• A quotation may be converted into a formal invoice or order confirmation before commencement of the service.
• RIT Group reserves the right to revise, withdraw, or cancel any quotation before acceptance.
• Any change in requirements after quotation approval may result in additional charges.
• Third-party services, software licenses, domain registration, hosting, SMS, email services, payment gateway charges, APIs, or other external services may be charged separately unless specifically included in the quotation.

PAYMENT TERMS

• Customers are requested to make payments only through the payment methods officially provided or communicated by RIT Group.
• Customers should not make payments to any individual, employee, partner, agent, representative, or third-party account unless specifically authorized by RIT Group in writing.
• RIT Group shall not be responsible for disputes arising from payments made to unauthorized persons or accounts.
• Certain services may require advance payment before commencement.
• RIT Group may suspend or delay commencement of services if the required payment is not received.
• Any bank charges, payment gateway charges, transaction charges, or other payment-related costs shall be borne by the customer unless specifically stated otherwise.
• Work or services shall commence only after the applicable advance payment has been successfully received and cleared.
• If an outstanding payment remains unpaid beyond the applicable due date, RIT Group may suspend the relevant service.
• Any applicable annual maintenance, subscription, renewal, hosting, domain, or support charges shall be payable according to the applicable billing cycle.
• Subscription, hosting, domain, and third-party service charges may be revised from time to time based on service-provider pricing, taxes, infrastructure costs, or market conditions.
• RIT Group reserves the right to suspend services where payments remain outstanding.

RIT GROUP SOFTWARE / ERP SERVICES

• Software, ERP, fee-management, school-management, institute-management, or other subscription-based applications provided by RIT Group are made available according to the plan or service purchased by the customer.
• The customer is responsible for providing accurate information while creating and maintaining an account.
• Account credentials must be kept confidential and must not be shared with unauthorized persons.
• Customers are responsible for all activities performed through their account.
• RIT Group may restrict or suspend an account if subscription fees remain unpaid after the applicable due date.
• If an account expires because of non-payment, users associated with that account may lose access to the application.
• RIT Group may provide a grace period after expiry at its discretion.
• If payment is not received within the applicable grace period, the account may be suspended.
• RIT Group may retain or delete account data in accordance with its data-retention policy after prolonged suspension or termination.
• Customers who discontinue the service may request their available data within the applicable data-retention period.
• Data export, migration, or conversion services may be subject to additional charges depending upon the required format and effort.
• RIT Group shall not be responsible for data recovery where data has been intentionally deleted, modified, corrupted, or otherwise affected by actions of the customer or its authorized users.

WEBSITES AND SOFTWARE DEVELOPMENT

• RIT Group shall develop websites, applications, software, or modules according to the requirements agreed with the customer.
• The scope of work shall be based on the approved quotation, proposal, specification, or written communication.
• Requests for additional functionality or changes outside the agreed scope may be treated as additional work and may incur additional charges.
• Any delay in providing content, credentials, approvals, designs, documents, or other dependencies required from the customer may affect the project completion timeline.
• The customer is responsible for providing accurate content, images, logos, documents, and other materials required for development.
• RIT Group may use placeholder or sample content during development if final content is not provided.
• Where a website or application is hosted on RIT Group infrastructure, applicable hosting and renewal charges must be paid on time.
• If hosting or renewal charges remain unpaid, RIT Group may suspend the website or application.
• RIT Group shall not be responsible for interruption caused by non-payment of hosting, domain, third-party services, or infrastructure charges.
• Website migration from RIT Group infrastructure to another server may be subject to migration and technical charges.
• Migration of software that depends on RIT Group infrastructure, APIs, proprietary services, or SaaS components may not be possible in its entirety.

HOSTING AND INFRASTRUCTURE

• Minimum hosting and infrastructure requirements may be specified for applications developed or deployed by RIT Group.
• The customer is responsible for ensuring that third-party hosting environments meet the required technical specifications unless hosting is provided by RIT Group.
• RIT Group may provide hosting and infrastructure services separately.
• Third-party hosting, cloud, domain, SSL, email, SMS, API, CDN, payment gateway, or other infrastructure services are subject to the terms and availability of their respective providers.
• RIT Group shall not be responsible for outages or failures caused by third-party infrastructure providers.
• Any additional server resources required because of increased traffic, storage, database size, email volume, API usage, or other requirements may result in additional charges.

INTELLECTUAL PROPERTY

• Unless specifically stated in writing, the source code, software architecture, frameworks, libraries, reusable components, development methodologies, scripts, tools, templates, and technical systems developed or used by RIT Group remain the intellectual property of RIT Group or their respective licensors.
• Purchase of a subscription or service does not automatically transfer ownership of source code or intellectual property to the customer.
• Where a specific source-code license or ownership transfer is included in a written agreement, such transfer shall be governed by that agreement.
• Customers shall not copy, reproduce, reverse engineer, decompile, modify, distribute, resell, sublicense, or commercially exploit proprietary RIT Group software without written authorization.
• Third-party software, libraries, APIs, fonts, images, plugins, or other components remain subject to their respective licenses.
• Any third-party licensing costs required for a project may be charged to the customer where applicable.

CANCELLATION AND TERMINATION

• Customers wishing to cancel a project or service should provide written notice to RIT Group.
• Cancellation of a development project after work has commenced may result in charges for work already completed.
• Any advance payment may be adjusted against completed work, third-party expenses, development effort, or other applicable charges.
• Subscription cancellation does not automatically entitle the customer to a refund unless specifically provided under the applicable refund policy.
• RIT Group may suspend or terminate services for non-payment, misuse, unauthorized access, violation of these Terms & Conditions, or other material breach of the agreement.
• RIT Group may terminate a service if its continued provision becomes technically, commercially, or legally impractical.

CUSTOMER CONTENT, PERMISSIONS AND COPYRIGHT

• The customer is solely responsible for ensuring that all content, documents, photographs, videos, audio, logos, trademarks, designs, text, software, and other materials supplied to RIT Group may legally be used.
• The customer represents that it has obtained all required permissions, licenses, consents, and authorizations for materials supplied to RIT Group.
• RIT Group shall not be responsible for claims arising from copyrighted, trademarked, defamatory, unlawful, or otherwise unauthorized material supplied by the customer.
• Customers are responsible for obtaining required permissions for digital content uploaded to their accounts.
• RIT Group may refuse to publish or process material that it reasonably believes is unlawful, offensive, fraudulent, abusive, or otherwise inappropriate.

ERRORS AND LIABILITY

• RIT Group will make reasonable efforts to ensure that software and applications developed by it operate substantially according to the agreed requirements.
• Bugs or errors attributable to RIT Group may be corrected according to the applicable warranty, maintenance, or support terms.
• Issues caused by third-party software, hosting, APIs, infrastructure, customer modifications, unauthorized changes, or unsupported environments may not be covered under standard support.
• RIT Group shall not be liable for indirect, incidental, consequential, special, or loss-of-profit damages arising from the use or inability to use its services, to the maximum extent permitted by applicable law.
• RIT Group shall not be responsible for losses caused by unauthorized access resulting from weak, shared, exposed, or compromised customer credentials.
• Where permitted by applicable law, RIT Group's total liability in relation to a particular service shall not exceed the amount actually paid by the customer for that service during the applicable period.

DATA SECURITY

• RIT Group takes reasonable technical and organizational measures to protect customer information and data.
• Customers are responsible for maintaining the confidentiality of their login credentials.
• Customers should immediately notify RIT Group if they suspect unauthorized access to their account.
• RIT Group shall not be responsible for data loss resulting from customer actions, unauthorized credential sharing, accidental deletion, malicious activity originating from customer systems, or circumstances beyond reasonable control.
• Customers should maintain appropriate backups of important information where required.
• Where backup facilities are provided by RIT Group, their scope and retention period shall be determined by the applicable service or plan.

ALTERATIONS AND CUSTOMIZATION

• Any modification requested after development has commenced may require additional development and testing.
• Changes made by the customer or any third party without authorization from RIT Group may affect system functionality.
• RIT Group may charge additional fees for correcting issues caused by unauthorized modifications or third-party changes.
• Customization requests are subject to technical feasibility and may require separate estimation.

COMPLETION OF WORK

• Project timelines provided by RIT Group are estimates unless a specific delivery date has been formally agreed in writing.
• Timelines may be affected by changes in requirements, delays in approvals, non-availability of content, third-party services, hosting, APIs, payment gateways, or other dependencies.
• RIT Group shall make reasonable efforts to complete projects within the estimated timeframe.
• Delays caused by circumstances outside RIT Group's reasonable control shall not constitute a breach of the agreement.
• Final delivery, deployment, source-code release, or transfer of project assets may be subject to receipt of all outstanding payments.
• Any unpaid work or deliverables shall remain subject to the applicable payment and intellectual-property terms.

THIRD-PARTY SERVICES

• RIT Group may integrate third-party services such as payment gateways, SMS providers, email providers, cloud infrastructure, maps, APIs, analytics services, or other external platforms.
• Such services are governed by the terms and policies of their respective providers.
• RIT Group does not guarantee uninterrupted availability of third-party services.
• Changes, suspension, discontinuation, pricing changes, or limitations imposed by third-party providers may affect the functionality of an application.

FORCE MAJEURE

RIT Group shall not be responsible for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, fire, flood, war, government restrictions, cyber incidents, internet outages, telecommunications failures, power failures, infrastructure failures, strikes, epidemics, or failures of third-party service providers.

JURISDICTION

RIT Group operates from India. Any dispute arising in connection with these Terms & Conditions, services, payments, software, delivery, maintenance, or other business relationship shall be subject to the applicable laws of India and the jurisdiction of the competent courts having territorial jurisdiction over the registered/principal place of business of RIT Group, unless otherwise agreed in writing.

REFUND AND CANCELLATION POLICY

DATA PROVIDED BY CUSTOMERS

Customers may upload or enter information into RIT Group applications, including institute, student, employee, financial, academic, contact, or other operational information.

The customer remains responsible for ensuring that it has the necessary legal authority and permissions to collect, store, and process such information through the RIT Group platform.

Customers should ensure that access to their accounts is provided only to authorized personnel.
